This end user license agreement (including any supplementary terms and amendments, whether made periodically or in the near future, henceforth collectively referred to as "EULA" or "eula" for brevity purposes only), is entered into between "you" and "SyncLite Systems Pvt. Ltd," hereinafter referred to as "SyncLite" for brevity purposes only. This agreement is initially enacted on 12/09/2023 and was last amended on 12/03/2024.

1.LICENSE TO USE THIS APPLICATION:

SyncLite grants the user a non-exclusive, non-transferable license to use the SyncLite platform, including the SyncLite logger, dbreader, qreader, jobmonitor, cli client and consolidator, for the user's internal business purposes only. This product is available solely on a subscription basis, and the user shall not assert any ownership rights over this product.

2.RESTRICTIONS:

The user shall not:

a. Modify, reverse engineer, decompile, disassemble, or create derivative works based on the SyncLite platform.

b. Rent, lease, lend, sublicense, or distribute the SyncLite platform to any third party.

c. Use the product for illegal activities, such as hacking, data theft, etc.

d. Utilize the product in any way that may cause damage to the user's or any third party's hardware or software."

3.LIABILITY LIMITATION:

SyncLite shall not be liable for any indirect, special, incidental, consequential, or punitive damages arising from the use or inability to use the SyncLite platform. The user acknowledges that under heavy or unusual data handling on limited or specific hardware resources, the product may exhibit unpredictable or erratic behavior.

4.DATA PRIVACY AND SECURITY:

The user acknowledges that the SyncLite platform will handle sensitive data from various applications and devices. The user agrees to be solely responsible for complying with all applicable data protection and privacy laws and regulations governing the collection, use, and transmission of data through the SyncLite platform. It is understood that this product serves as a means for data acquisition, transfer, or collection. Therefore, the privacy and security of data remain the sole responsibility of the user.

5.DATA OWNERSHIP:

The user retains full ownership of all data processed, consolidated, and stored using the SyncLite platform. SyncLite shall not claim any ownership rights over the user's data.

6.SCALABILITY AND RESOURCE ALLOCATION:

The user understands that the SyncLite platform is fully scalable and can support any number of devices. However, the user acknowledges that the performance and scalability of the platform may be subject to the user's available compute capacity, storage capacity and infrastructure.

7.AVAILABILITY AND DOWNTIME:

While SyncLite strives to maintain high availability, the user acknowledges that occasional downtime or service interruptions may occur. SyncLite shall not be liable for any damages or losses arising from such downtime. The user also acknowledges that, like any software product, SyncLite may encounter occasional bugs or errors. Downtime related to bug fixing or debugging activities may affect product availability and downtime.

8.SUPPORT AND MAINTENANCE:

SyncLite will provide technical support and maintenance for the SyncLite platform during the term of the user's subscription. The scope and level of support shall be specified in a separate service level agreement (SLA).

9.TERMINATION:

Either party may terminate this agreement at any time for any reason. Upon termination, the user shall immediately cease using the SyncLite platform and return or destroy all copies of the software in their possession permanently.

10.CONFIDENTIALITY:

The user agrees to keep confidential all proprietary and confidential information disclosed by SyncLite during the course of using the platform. This includes, but is not limited to, the platform's source code, algorithms, architecture etc. 

11.GOVERNING LAW:

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction where SyncLite is incorporated. Any disputes or differences between the parties arising from this EULA shall be subject to the exclusive jurisdiction of the courts in SyncLite's jurisdiction.

12.PATENT INFORMATION:

SyncLite's technology is protected by one or more patents, subject to the terms and conditions in this document/EULA and the associated patent documents/EULA. Your use of the SyncLite platform implies your agreement to adhere to these terms and acknowledgment of potential patent coverage.

13.MODIFICATIONS AND UPDATES:

SyncLite retains the right to modify or update these terms and conditions at any time. Users will be informed of any changes, and their continued use of the SyncLite platform after such modifications will constitute acceptance of the updated terms. Additionally, users will receive notifications on the website about product updates. Users have the option to continue with older versions or update the product upon receiving these notifications. Please note that support for older versions may be discontinued in accordance with SyncLite's policies.

14.LICENSE EXPIRATION:

After the license granted period expires or if the user has no intention to continue using the SyncLite platform, they are advised to promptly cease all usage and delete any instances of the software to ensure compliance with the terms of use as mentioned above.

15.LIMITED FREE DEVELOPER LICENSE:

SyncLite provides a limited free developer license alongside the release of the software. This license is subject to specific terms and usage limitations, and users are encouraged to review and adhere to those terms when using the free license.

16.COMMERCIAL LICENSE:

The primary type of license offered by SyncLite is the commercial license, intended for businesses and organizations seeking to utilize the platform for their internal business purposes. The commercial license encompasses the full suite of SyncLite features and functionalities including periodic updates. 

17.DISCLAIMER OF WARRANTIES:

You (the user) acknowledge that the software is provided "as is" and "as available" without any warranty, express or implied, and to the maximum extent permitted by applicable law. Neither SyncLite, its licensors, affiliates, nor the copyright holders make any representations or warranties, whether express or implied, including but not limited to warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third-party rights. SyncLite does not warrant that the functions contained in this product will meet your requirements or that the operation of this product will be uninterrupted or error-free. Furthermore, you assume all responsibility and risk for selecting the product to achieve your intended results and for the installation, use, and results obtained from it.

19.RELATED AGREEMENT:

This product is licensed and not sold. By opening, downloading, installing, copying, or otherwise using this product and any other materials included as part of this product, you agree to be bound by the terms of this agreement. Additionally, you agree to adhere to the privacy policies/notices and terms of service, as well as comply with attribution requirements for open-source software and third-party software library licenses, all of which can be found in the product README file and the license/third-party-software folder within the product release.

20.ENTIRE AGREEMENT:

This agreement constitutes the entire understanding between the user and SyncLite regarding the use of the SyncLite platform and supersedes all prior or contemporaneous agreements, whether written or oral. By using the SyncLite platform, the user agrees to be bound by these terms and conditions. If the user does not agree with any part of these terms, they should refrain from using the SyncLite platform.
